Driver Agreement
This Driver Agreement governs the relationship between VanTele Mobility and independent driver-partners who provide transport and delivery services through the Platform. It establishes that Drivers are independent contractors, not employees of VanTele.
1. Parties and Scope
This Agreement is between VanTele Mobility (PTY) Ltd ("VanTele") and you, the driver-partner ("Driver", "you"). It applies in addition to the Terms of Service, Privacy Policy and Acceptable Use Policy. By registering as a Driver and accepting this Agreement, you agree to its terms.
2. Independent Contractor Status
You are an independent contractor. You are not an employee, agent, partner or joint venturer of VanTele. Nothing in this Agreement creates an employment relationship.
- You decide if, when, where and for how long you use the Platform to offer services. There are no shifts, no minimum hours and no obligation to accept any particular request.
- You provide your own vehicle, fuel, mobile device, data and other tools at your own cost.
- You are responsible for your own income tax, social contributions and any business registrations required by law. VanTele does not withhold tax; we will provide earnings statements to assist you.
- You are not entitled to employee benefits such as leave, pension, overtime or unemployment insurance from VanTele.
- You may provide similar services to others, including competitors.
3. Eligibility and Verification
To be activated and remain active as a Driver, you must at all times:
- Hold a valid Namibian driver's licence appropriate to your vehicle and the services you provide;
- Provide a valid national identity document and a police clearance certificate (not older than the period we specify);
- Operate a roadworthy vehicle that is licensed, insured and lawfully permitted to carry passengers or goods as applicable;
- Hold any operator's permit or authorisation required by law to carry fare-paying passengers or goods; and
- Keep all documents current and promptly provide updated copies on request.
4. Driver Obligations
- Drive safely and lawfully, obeying all road-traffic laws and speed limits.
- Keep your vehicle clean, roadworthy and properly maintained.
- Treat Passengers and other Users with respect and without discrimination.
- Not drive under the influence of alcohol or drugs.
- Carry only the agreed number of passengers and lawful Parcels (see Parcel Delivery Terms).
- Not use a personal device unsafely while driving.
- Maintain accurate location/GPS sharing while online so trips and Parcels can be tracked.
5. Fares, Commission and Payment
- Fares are calculated by the Platform. You keep the Fare less VanTele's service commission.
- Commission is tiered by Driver standing: basic 15%, verified 12%, trusted 10%, premium 8%, gold 5%. We will tell you your current tier and may adjust tiers on reasonable notice.
- Earnings are recorded in your wallet and paid out according to our payout process.
- You are responsible for declaring and paying your own taxes on your earnings.
6. Insurance and Liability
You are responsible for maintaining all insurance required by law for your vehicle and activity, including any cover needed to carry fare-paying passengers or goods. VanTele does not provide vehicle, passenger, goods-in-transit or personal-accident insurance to Drivers unless expressly stated in writing. You are responsible for accidents, injury, loss or damage arising from your services, except to the extent the law provides otherwise.
7. VanTele Agent Services (Optional)
If you opt in as a VanTele Marketplace agent, you may earn additional commission for marketplace deliveries and related tasks. Agent activities are subject to any additional rules we provide, and the same independent-contractor principles in clause 2 apply.
8. Standards, Ratings and Deactivation
Your access depends on maintaining good standing, including acceptable ratings and compliance with this Agreement and our policies. We may issue warnings, temporarily suspend, or deactivate your access where you breach this Agreement, fall below safety or quality standards, lose a required licence or permit, or where required by law or to protect Users. We will act reasonably and, where practical, give you an opportunity to respond.
9. Data and Confidentiality
You will handle Passenger data (such as contact details and locations) only to provide the service, and you must keep it confidential and not retain, share or misuse it. Our handling of your data is described in the Privacy Policy.
10. Indemnity and Limitation of Liability
You indemnify VanTele against claims, losses and reasonable costs arising from your services, your vehicle, your breach of this Agreement, or your unlawful or negligent conduct. To the extent permitted by law, VanTele's liability to you is limited as set out in the Terms of Service.
11. Term and Termination
This Agreement continues until ended. You may stop using the Platform and request deactivation at any time. Either party may end this Agreement on reasonable notice, and we may suspend or end it immediately for serious breach, safety risk or legal reasons. Provisions that by their nature should survive (including tax responsibility, indemnity and confidentiality) continue after termination.
12. Changes to This Agreement
We may update this Agreement from time to time and will give reasonable notice of material changes through the Driver app, by email or SMS. Continued use of the Platform after the effective date means you accept the updated Agreement.
13. Governing Law
This Agreement is governed by the laws of the Republic of Namibia, and the Namibian courts have jurisdiction over disputes arising from it.
